Legal · Member Terms of Use

Member Terms of Use.

These Terms of Use ("Terms") govern your use of the apps, coaching and related services (the "Services") provided by Ecowarrior, Inc., doing business as TeraHealth ("TeraHealth," "we," "us" or "our"). The Services may be offered to you under the TeraHealth name or under the name of an organization that offers them to you.

By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Please read Section 21 carefully. It requires most disputes to be resolved by individual binding arbitration and waives class actions.

01

The Services

TeraHealth provides medication companion services that help people on prescribed therapies, starting with GLP-1 medications, build and keep healthy habits around food, activity, sleep and side-effect self-care. The Services combine a clinical rules engine with human coaching.

TeraHealth also offers Tera Health Coach, a standalone app with nutrition guidance, supplement recommendations, fitness workouts and health-tracking tools for people who join without a Partner.

TeraHealth does not prescribe, dispense, dose or adjust any medication, and does not diagnose or treat any disease.

02

Who Uses the Services

1.

Members of a Partner program. You may use the Services because a telehealth provider, pharmacy, drug manufacturer or other organization (a "Partner") offers them to you. The app may carry the Partner's name and branding. Your Partner and your prescriber are responsible for your medical care. TeraHealth provides lifestyle coaching and technology on the Partner's behalf.

2.

Direct users of Tera Health Coach, without a Partner or practitioner.

3.

Patients of a practitioner who uses TeraPro or Tera Patient Copilot. Your practitioner, not TeraHealth, is responsible for the clinical or professional services they provide to you.

4.

Practitioners and Partner staff who use our tools to support their patients. You are also bound by your organization's written agreement with TeraHealth.

03

No Medical Advice

The Services are for general wellness, information and education. They are not medical care and do not replace your prescriber, doctor or other healthcare provider.

Coaching covers food, activity, sleep, habits and general self-care for common side effects. Coaches do not give medical advice, prescribe, change your medication or dose, interpret lab results, or diagnose conditions. Questions about your medication, dose, labs or symptoms go to your prescriber.

Never ignore professional medical advice or delay seeking it because of something you read or heard in the Services.

04

Coaching and Coaches

Coaching is delivered by licensed RDNs (Registered Dietitian Nutritionists), health coaches and personal trainers certified by NASM or an equivalent body. Coaches may be employed or contracted by TeraHealth or by your Partner.

Health coaches and personal trainers are not licensed healthcare providers. Nutrition coaching is general wellness guidance and is not medical nutrition therapy. Some coaches may be located outside the United States.

05

Plan Review and Prescriber Responsibility

Before any plan reaches you, it is reviewed and approved by a health coach and a certified personal trainer, who may be TeraHealth staff or your Partner's staff.

Your prescriber remains solely responsible for prescribing, dosing, titration, lab monitoring and clinical risk. When your Partner shares your titration schedule with us, your plan follows it. If the schedule changes, your Partner updates us.

06

How Our Technology Works

Plan recommendations in the Services follow rules held in curated clinical knowledge bases (for example, which foods suit your goals and conditions). Language models are used to combine and explain those rule outputs in plain language. They do not create clinical rules or protocols.

Automated outputs can still contain errors or omissions and may not reflect the latest research. That is why coaches review every plan. You are responsible for deciding whether a recommendation is right for you. Tell your coach or Partner if anything looks wrong.

07

No Emergency Services

The Services are not monitored for emergencies, and coaches may not reply right away.

— Emergency Notice —

If you have severe abdominal pain, persistent vomiting, signs of dehydration, an allergic reaction, or any symptom that worries you, call 911 or contact your prescriber right away. Do not wait for a coach to reply.

08

Side Effects and Safety Reporting

If you tell a coach about a possible side effect, we may share it with your prescriber or your Partner. In programs sponsored by a drug manufacturer, we may also share it with the manufacturer's drug safety team, as the law and our agreement with the manufacturer require.

09

Programs Sponsored by Manufacturers or Pharmacies

Some programs are funded by a drug manufacturer or a pharmacy. When that is the case, the sponsor will be named in the app.

  • Coaching never recommends a particular brand of medication or encourages you to switch medications.
  • Your participation does not affect what your prescriber prescribes or where you fill your prescription.
  • Participation is not conditioned on buying any product.
  • A sponsoring manufacturer receives only aggregate, de-identified program results, apart from safety reports under Section 8, unless you agree otherwise.
10

Eligibility

You must be at least 18 years old and able to form a binding contract.

Some programs also require you to be enrolled by a prescriber, pharmacy or Partner, or to meet the Partner's eligibility rules.

11

Your Account

Your Partner may create your account and share enrollment information with us, such as your titration schedule.

You agree to keep your information accurate, protect your login credentials and tell us promptly about any unauthorized use. You are responsible for activity in your account.

12

Acceptable Use

You agree not to:

  • use the Services for any unlawful purpose;
  • copy, modify, reverse engineer or attempt to extract the source code of the Services;
  • interfere with or disrupt the Services or their security;
  • impersonate anyone or misrepresent your identity or health information;
  • upload malicious code or content you have no right to share;
  • give medical advice to others through the Services unless you are a licensed professional acting within your scope.

We may suspend or close accounts that break these rules.

13

Text Messages and Notifications

By providing a mobile number, you agree to receive coaching and program messages by text from TeraHealth or on your Partner's behalf. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for help. Consent to texts is not a condition of any purchase.

14

Privacy and Health Information

Our Privacy Policy explains how we collect, use and share personal and health information.

  • Partner programs under HIPAA. When your Partner is a healthcare provider, pharmacy or health plan covered by HIPAA, TeraHealth handles your health information as that Partner's business associate, and the Partner's Notice of Privacy Practices also applies.

  • Manufacturer-sponsored and direct programs. Our Privacy Policy and applicable state health-data laws apply.

  • Sharing. We share information with your Partner and prescriber to coordinate your program, and as described in Sections 8 and 9.

  • Location. Your information may be accessed by coaches and staff located outside the United States, under the safeguards described in our Privacy Policy.

  • We do not sell your health information or use it for advertising.

15

Partners and Third-Party Services

Your Partner, your prescriber and your pharmacy provide their own services under their own terms and policies, and they are responsible for them.

The Services may also connect to third-party services such as grocery services, wearables, labs and payment processors. TeraHealth is not responsible for third-party services, and your use of them is subject to their terms.

16

Intellectual Property

The Services, including the software, content and technology behind them, are owned by TeraHealth or its licensors. A Partner's names and logos shown in the app belong to that Partner.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal use under these Terms.

17

Disclaimers

The Services are provided "as is" and "as available." To the fullest extent the law allows, TeraHealth disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not promise any particular health, weight or medication outcome.

18

Limitation of Liability

To the fullest extent the law allows, TeraHealth is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or data.

Our total liability for any claim relating to the Services is limited to the greater of $100 or the amount you paid TeraHealth in the six months before the claim arose. Some jurisdictions do not allow these limits, so they may not apply to you.

19

Indemnification

You agree to indemnify and hold TeraHealth harmless from claims arising out of your misuse of the Services or your violation of these Terms or of the law.

20

Termination

You may stop using the Services at any time. We may suspend or end your access if you violate these Terms, if your Partner's program ends or your Partner ends your enrollment, or if we discontinue the Services.

When access ends, we keep or delete your information as described in our Privacy Policy and our agreement with your Partner. Sections that by their nature should survive termination will survive.

21

Dispute Resolution and Arbitration

Any dispute relating to these Terms or the Services will be resolved by individual binding arbitration administered by the American Arbitration Association in Delaware, except that either party may bring an individual claim in small claims court. You and TeraHealth waive the right to a jury trial and to participate in any class or representative action.

22

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules.

23

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes through the app, by email, or through your Partner. Continued use of the Services after a change takes effect means you accept the updated Terms.

24

General Terms

These Terms and the Privacy Policy are the entire agreement between you and TeraHealth about the Services. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets. If you downloaded the app from an app store, that store's terms also apply, and the store is not responsible for the Services.
